These Terms of Service ("Terms") govern your use of the Coatbase software and services provided by Lajoie Analytics LLC ("we", "us", or "our"). By using Coatbase, you agree to these Terms.
1. Acceptance of Terms
By downloading, installing, or using Coatbase, you agree to be bound by these Terms. If you do not agree, do not use the software.
2. Description of Service
Coatbase is paint mixing and inventory management software. The service includes:
- Desktop application for Windows
- Cloud backup and synchronization
- Software updates during your subscription period
- Email support
3. Account Registration
To use Coatbase beyond the trial period, you must:
- Create an account with accurate information
- Maintain the security of your account credentials
- Notify us immediately of unauthorized access
You are responsible for all activity under your account.
4. Subscription and Payment
Pricing: Current pricing is $24.99/month or $199/year. Prices are subject to change with 30 days notice.
Billing: Subscriptions are billed in advance. Monthly subscriptions renew automatically each month. Annual subscriptions renew automatically each year.
Cancellation: You may cancel at any time. Access continues until the end of your current billing period. Annual subscriptions are non-refundable.
Trial Period: The 14-day free trial provides full access. No payment information is required to start a trial.
5. License Grant
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use Coatbase on one (1) computer. See the End User License Agreement for full license terms.
6. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble the software
- Copy, modify, or distribute the software
- Share your license with others
- Use the software for illegal purposes
- Attempt to circumvent license validation
7. Data and Privacy
Your use of Coatbase is also governed by our Privacy Policy. You retain ownership of your data. We process your data only to provide the service.
8. Intellectual Property
Coatbase and all related trademarks, logos, and content are owned by Lajoie Analytics LLC. You may not use our trademarks without written permission.
9. Disclaimer of Warranties
COATBASE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LAJOIE ANALYTICS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Lajoie Analytics from any claims arising from your use of the software or violation of these Terms.
12. Modifications to Service
We may modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice for material changes.
13. Termination
We may terminate your access for violation of these Terms. Upon termination, your license ends immediately and you must stop using the software.
14. Governing Law
These Terms are governed by the laws of the State of Rhode Island, without regard to conflict of law principles.
15. Dispute Resolution
Any disputes shall be resolved through binding arbitration in Rhode Island, except that either party may seek injunctive relief in court.
16. Changes to Terms
We may update these Terms at any time. We will notify you of material changes. Continued use after changes constitutes acceptance.
