This End User License Agreement ("EULA") is a legal agreement between you ("User") and Lajoie Analytics LLC ("Licensor") for the Coatbase software application ("Software").
1. Grant of License
Subject to your compliance with this EULA and payment of applicable fees, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the Software on one (1) computer owned or controlled by you
- Use the Software for your internal business purposes
- Make one (1) backup copy of the Software for archival purposes
2. License Restrictions
You may NOT:
- Copy, modify, or distribute the Software except as expressly permitted
- Reverse engineer, decompile, or disassemble the Software
- Remove or alter any proprietary notices or labels
- Rent, lease, lend, sell, or sublicense the Software
- Use the Software to develop competing products
- Transfer your license to another person or entity
- Circumvent or disable license validation mechanisms
- Use the Software in any way that violates applicable laws
3. Subscription and Activation
The Software requires activation and periodic validation with our license servers. You must maintain an active subscription to access full functionality. During the trial period, all features are available without payment.
4. Ownership
The Software is licensed, not sold. Licensor retains all ownership rights, title, and interest in the Software, including all intellectual property rights. This EULA does not grant you any rights to trademarks or service marks of Licensor.
5. Your Data
You retain ownership of all data you input into the Software. Licensor does not claim any ownership rights to your formulas, mix records, or other business data. Our use of your data is governed by our Privacy Policy.
6. Updates
Licensor may provide updates, patches, or new versions of the Software. Updates may be required to continue using the Software. This EULA applies to all updates unless a separate agreement is provided.
7. Support
Technical support is provided via email during your subscription period. Response times and support levels may vary based on your subscription plan.
8. Term and Termination
This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you:
- Fail to comply with any term of this EULA
- Cancel your subscription
- Fail to pay subscription fees
Upon termination, you must cease all use of the Software and destroy all copies. You may export your data before termination.
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF RESULTS
LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LICENSOR SHALL NOT BE LIABLE FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL
- LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM
11. Indemnification
You agree to indemnify, defend, and hold harmless Licensor from any claims, damages, losses, or expenses arising from your use of the Software or violation of this EULA.
12. Export Compliance
You agree to comply with all applicable export laws and regulations. You may not export or re-export the Software to prohibited countries or persons.
13. Government Users
If you are a U.S. government user, the Software is provided with "RESTRICTED RIGHTS" as defined in applicable regulations.
14. Governing Law
This EULA is governed by the laws of the State of Rhode Island, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Rhode Island.
15. Severability
If any provision of this EULA is found unenforceable, the remaining provisions shall remain in full force and effect.
16. Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Licensor regarding the Software.
17. Amendments
Licensor may amend this EULA at any time by providing notice through the Software or by email. Continued use after such notice constitutes acceptance of the amended terms.
